Physically nothing. Actually, just the graduations and markings. Assuming both thermometers go down to -40, the lowest markings will be in the same place as -40°C is exactly the same temperature as -40°F. At the melting point of water, the Centigrade thermometer will read 0° and the Fahrenheit one will read 32° and when you get up to the boiling point of water, it will be 100°C and 212°F.
